General Terms and Conditions for Business-to-Business Transactions

1. SCOPE OF APPLICATION

1.1 These General Terms and Conditions (hereinafter referred to as the “GTC”) apply to all contracts for the sale and/or delivery of movable goods (hereinafter referred to as the “Goods”) as well as to related development, conceptualisation and design services provided by Nordmade GmbH, Winterhuder Weg 80, 22085 Hamburg, Germany (hereinafter referred to as “Nordmade”) to its customers (hereinafter referred to as the “Customer”). These GTC apply exclusively to entrepreneurs within the meaning of Section 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. They do not apply to consumers.

1.2 These GTC, in the version valid at the time of the order, shall apply exclusively to the entire business relationship, including future transactions within the scope of an ongoing business relationship. Any conflicting, deviating or supplementary terms and conditions of the Customer shall not become part of the contract unless Nordmade expressly agrees to their applicability in writing. This shall also apply if Nordmade performs the delivery without reservation despite being aware of conflicting or deviating terms and conditions of the Customer.

1.3 Individual agreements with the Customer (ancillary agreements, supplements and amendments) shall take precedence over these GTC. The content of such agreements shall be governed by a written contract or Nordmade’s written confirmation. With the exception of managing directors and authorised signatories (Prokuristen), Nordmade employees are not authorised to make verbal agreements deviating from these provisions. For the purposes of these GTC, the written-form requirement shall also be satisfied by fax or by an email bearing a qualified electronic signature or containing an unequivocal confirmation; a simple email without further confirmation shall not be sufficient.

1.4 Legally relevant declarations and notices to be submitted by the Customer after conclusion of the contract (e.g. setting of deadlines, notices of defects, declarations of withdrawal or reduction of the purchase price) must comply with the written-form requirement pursuant to Section 1.3 in order to be effective.

2. OFFERS AND CONCLUSION OF CONTRACT

2.1 Offers made by Nordmade are always subject to change and non-binding unless they are expressly designated as binding.

2.2 A contract with Nordmade shall be concluded upon Nordmade’s written order confirmation, but in any event no later than upon commencement of the execution of the order or delivery of the Goods. The content of the contract shall be determined by Nordmade’s order confirmation or, if no such confirmation exists, by Nordmade’s offer.

2.3 Offers, concepts, layouts, calculations and other documents prepared by Nordmade prior to placement of the order may contain supplementary project-specific information (e.g. regarding samples, development fees or delivery times pursuant to Section 12). Unless expressly objected to, such information shall become part of the respective individual contract and, as a more specific provision relating to the particular order, shall take precedence over these GTC without affecting the remaining provisions of these GTC.

3. PRICES

3.1 Unless expressly stated otherwise, the prices offered are net prices plus the statutory value added tax applicable at the time of delivery as well as packaging, shipping and other ancillary costs, unless such costs are expressly included in the price.

3.2 For contracts with a delivery period of more than four months from the date of order confirmation, Nordmade reserves the right to make a reasonable adjustment to the prices if material, raw material, energy, freight or other procurement costs increase significantly after conclusion of the contract. Nordmade shall inform the Customer of any price adjustment without undue delay and shall limit the increase to the actual additional costs incurred.

4. TERMS OF PAYMENT

4.1 Unless otherwise agreed, invoices shall be paid within the payment period stated on the invoice, without deduction and free of charges.

4.2 Payments shall be deemed to have been made on the date on which the funds are available to Nordmade.

4.3 Bills of exchange shall not be accepted as a means of payment.

4.4 In the event of default in payment, the Customer shall be obliged to pay default interest from the commencement of the default at the statutory rate (currently 9 percentage points above the applicable base interest rate of the European Central Bank, Section 288(2) BGB); Nordmade reserves the right to claim further damages caused by the delay. Deposits or advance payments made by the Customer shall not bear interest. In the event of default in payment, Nordmade shall furthermore be entitled to withhold further deliveries to a reasonable extent, including deliveries under other orders, and to make future deliveries subject to advance payment or cash on delivery.

4.5 If, after conclusion of the contract, circumstances become known which are likely to materially reduce the Customer’s creditworthiness, Nordmade shall be entitled, at its discretion, to demand advance payment or the provision of security and, in the event of final refusal or expiry of a deadline without result, to withdraw from the contract. Statutory provisions concerning cases in which setting a deadline is not required shall remain unaffected.

4.6 Nordmade shall be entitled, within the scope of an ongoing business relationship and upon conclusion of a contract, to carry out the credit checks on the Customer that are customary and normally required, in particular by obtaining information from credit agencies. 5. DELIVERY TERMS

5.1 The place of performance shall be Hamburg, Germany, unless otherwise agreed.

5.2 Delivery periods shall only be binding if expressly confirmed as binding by Nordmade in writing. Otherwise, delivery periods shall be non-binding approximate delivery periods.

5.3 A delivery period shall be deemed to have been met if the Goods have been dispatched within the applicable period or, if dispatch is delayed for reasons beyond Nordmade’s control, if notice that the Goods are ready for dispatch is given within the agreed period.

5.4 If a binding delivery period cannot be met for reasons beyond Nordmade’s control (in particular unavailability of the performance, force majeure, industrial action, disruptions in the supply chain of international suppliers or other operational disruptions for which Nordmade is not responsible), Nordmade shall inform the Customer thereof without undue delay and indicate an expected new delivery period. If performance is also unavailable within this new period, Nordmade shall be entitled to withdraw from the contract in whole or in part; any consideration already received shall be reimbursed without undue delay. Unavailability of performance shall include, in particular, failure by Nordmade’s suppliers to supply Nordmade in due time, provided neither Nordmade nor the respective supplier is responsible for such failure.

5.5 The Customer’s right to withdraw from the contract following the unsuccessful expiry of a reasonable grace period shall remain unaffected. In all other respects, the occurrence of a delay in delivery shall be governed by the statutory provisions; in any event, a reminder from the Customer shall be required.

5.6 In the case of orders from customers based outside Germany or where there are reasonable indications of a risk of payment default, Nordmade reserves the right to deliver only after receipt of the purchase price together with shipping costs (advance payment requirement). Nordmade shall inform the Customer thereof without undue delay.

6. SHIPPING AND PACKAGING

6.1 Unless otherwise agreed, the Goods shall be shipped from a location determined by Nordmade and shall be packaged appropriately for shipping and transportation. The method of shipment and packaging shall be determined at Nordmade’s reasonable discretion.

6.2 In the case of a sale involving shipment of the Goods, the Customer shall bear the transport costs ex works as well as the costs of any transport insurance taken out at the Customer’s request.

7. TRANSFER OF RISK

For all deliveries, including any returns, the Customer shall bear the risk from the time the shipment leaves Nordmade’s warehouse, a third-party warehouse maintained by Nordmade or the warehouse of one of Nordmade’s suppliers. This shall also apply to partial deliveries or if Nordmade has undertaken to provide additional services, such as shipping. If shipment is delayed at the Customer’s request or for reasons for which the Customer is responsible, the risk shall pass to the Customer upon notification that the Goods are ready for dispatch.

8. LIABILITY FOR DEFECTS

8.1 The statutory provisions shall apply to the Customer’s rights in the event of material defects and defects of title, including incorrect and short deliveries, unless otherwise stipulated below.

8.2 Claims for defects require that the Customer has complied with its statutory duties to inspect the Goods and give notice of defects pursuant to Section 377 of the German Commercial Code (HGB). Obvious defects must be reported in writing without undue delay after delivery, and hidden defects must be reported in writing without undue delay after discovery. A notification shall be deemed to have been made without undue delay if it is dispatched within seven working days following delivery or discovery of the defect, as applicable.

8.3 Claims for defects shall become time-barred 12 months after the transfer of risk; Section 8.2 shall remain unaffected. This shall not apply to claims for damages pursuant to Section 9 or in cases of intent, gross negligence, fraudulently concealed defects, guarantees assumed by Nordmade or claims under the German Product Liability Act, to which the statutory limitation periods shall apply.

8.4 In the event of justified notices of defects, Nordmade may, at its discretion, remedy the defect or provide replacement Goods. If subsequent performance fails or Nordmade allows a reasonable grace period to expire without result, the Customer shall be entitled to the statutory rights of withdrawal or reduction of the purchase price.

8.5 Liability for defects shall not extend to normal wear and tear or to damage arising after the transfer of risk as a result of improper or negligent handling, excessive use or improper interference by the Customer or third parties, unless the Customer demonstrates that the defect is not attributable to such circumstances.

8.6 In the case of handmade items, minor deviations from an approved pre-production sample in terms of shape, colour, size and material are customary due to the nature of the manufacturing process and materials and shall not constitute a defect, provided they do not impair the usability of the Goods. Section 12 shall remain unaffected.

9. LIABILITY

9.1 Nordmade shall be liable for breaches of contractual and non-contractual obligations in accordance with the statutory provisions unless otherwise provided for in these GTC.

9.2 Nordmade shall have unlimited liability for damages in cases of intent and gross negligence and in the event of injury to life, limb or health. In cases of ordinary negligence, Nordmade shall only be liable in the event of a breach of a material contractual obligation (cardinal obligation), the fulfilment of which is essential for the proper performance of the contract and on compliance with which the Customer may regularly rely; in such cases, liability shall be limited to compensation for foreseeable damage typically arising from such breach.

9.3 The above limitations of liability shall not apply where Nordmade has fraudulently concealed a defect or has assumed a guarantee regarding the quality of the Goods, nor shall they apply to claims under the German Product Liability Act.

10. SET-OFF AND RIGHTS OF RETENTION

The Customer shall only be entitled to rights of set-off or retention insofar as its counterclaims have been finally determined by a court, are undisputed or have been acknowledged by Nordmade, or insofar as the counterclaims arise from the same contractual relationship. Mandatory statutory counter-rights of the Customer in the event of defects in the delivery shall remain unaffected.

11. RETENTION OF TITLE

11.1 The delivered Goods shall remain the property of Nordmade until all present and future claims of Nordmade arising from the business relationship with the Customer, including all balance claims under a current account, have been paid in full (“Goods Subject to Retention of Title”). The Customer shall store the Goods Subject to Retention of Title properly and shall insure them adequately at its own expense.

11.2 The Customer shall be entitled to resell the Goods Subject to Retention of Title in the ordinary course of business, provided that it is not in default of payment. Pledging, transfer by way of security or other dispositions that impair the security purpose of the retention of title shall not be permitted. In the event of seizure or other access by third parties to the Goods Subject to Retention of Title, the Customer shall immediately inform the third party of Nordmade’s ownership and notify Nordmade thereof in writing.

11.3 The Customer hereby assigns to Nordmade, in advance, all claims against its customers arising from the resale or rental of the Goods Subject to Retention of Title in an amount corresponding to the proportion attributable to the Goods Subject to Retention of Title; Nordmade hereby accepts such assignment. The Customer shall remain entitled to collect such claims as long as it duly fulfils its payment obligations and there is no material deterioration in its financial circumstances.

11.4 If the realisable value of the security interests exceeds Nordmade’s secured claims by more than 20%, Nordmade shall, at the Customer’s request, release security interests of Nordmade’s choice to the corresponding extent.

11.5 If the retention of title is not effective under the laws of the country in which the Goods are located, the parties hereby agree to establish security under the applicable local law which comes as close as possible to the economic purpose of the retention of title; the Customer shall cooperate in all measures necessary for this purpose at its own expense.

12. SAMPLES, PROTOTYPES AND PRE-PRODUCTION SAMPLES

12.1 If the preparation of a sample or prototype is required for an order, the standard delivery period shall be approximately 21 days unless otherwise agreed in the individual case. Nordmade shall charge a development fee for the procurement or development of a sample, the amount of which shall be specified in the respective offer. This fee shall become due upon ordering the sample and shall be credited against the order value if the Customer subsequently places the order.

12.2 Samples developed by Nordmade shall remain the property of Nordmade. If no order is placed, the sample must be returned to Nordmade carriage paid no later than four weeks after being provided to the Customer, unless otherwise agreed in writing. If the Customer wishes to retain the sample beyond this period, the fee per model specified in the respective offer shall be charged.

12.3 Following placement of the order, the Customer shall receive a pre-production sample for final approval for production. Production shall only commence after written approval by the Customer. Delays resulting from late approval shall not be attributable to Nordmade and shall postpone agreed delivery dates accordingly.

12.4 All samples and pre-production samples provided to the Customer for review or approval shall remain the property of Nordmade. They may not be passed on to third parties for the purpose of reproduction, duplication, copying or having them reproduced. Any violation of this provision may give rise to claims for damages by Nordmade.

13. INTELLECTUAL PROPERTY, DESIGNS AND CONCEPTS

Copyright-Protected Works

13.1 To the extent that designs, sketches, drawings, mock-ups, samples, prototypes, character designs, packaging designs or other creative services created by Nordmade qualify as works within the meaning of Section 2 of the German Copyright Act (UrhG) (hereinafter referred to as “Works”), all copyrights and related rights therein shall belong exclusively to Nordmade or to the designers commissioned by Nordmade.

13.2 Suggestions, ideas or specifications provided by the Customer shall not establish joint authorship or any other rights of the Customer in the Works unless expressly agreed otherwise in writing.

13.3 The Customer shall receive only those rights of use in the Works within the meaning of Section 31 UrhG that have been expressly agreed in writing in the individual case, and only once the remuneration agreed for such rights has been paid in full. In case of doubt, the Customer shall only be granted a simple, non-exclusive and non-transferable right of use for the purpose of distributing the specifically ordered Goods in the agreed presentation. Any transfer of this right of use to third parties shall require Nordmade’s prior written consent and may be made subject to separate remuneration; any consent required shall not be unreasonably withheld.

13.4 Nordmade shall be entitled to affix an author or manufacturer notice to the Works unless otherwise stipulated in the individual contract and to object to any alteration, distortion or other impairment of the Works unless the Customer has expressly been authorised to make such changes.

Concepts and Ideas Without the Required Level of Originality

13.5 If Nordmade submits to the Customer, in connection with an enquiry, offer or ongoing business relationship, product ideas, concepts, assortment proposals or other conceptual considerations that do not qualify as Works within the meaning of Section 13.1 (hereinafter referred to as “Concepts”), the Customer undertakes to use such Concepts exclusively within the scope of the business relationship entered into or being contemplated with Nordmade.

13.6 If Nordmade is not commissioned to implement a Concept, the Customer undertakes, for a period of 24 months from the date on which the Concept was communicated, neither to exploit the Concept itself nor to have it exploited or reproduced by third parties, in particular other suppliers. This obligation shall not apply insofar as the Customer demonstrates that the respective Concept was already known to it prior to being communicated by Nordmade, was made available to it independently of Nordmade or was already publicly known at the time it was communicated.

13.7 The above obligation shall not apply to Concepts contributed or substantially co-developed by the Customer itself, nor to general market trends, product categories or generic design ideas that do not contain an independent contribution originating from Nordmade that is unusual within the relevant industry.

Design Specifications Provided by the Customer

13.8 Where the Customer provides or specifies its own design elements to Nordmade in connection with an order, including, in particular, drawings, patterns, CAD data, reference images, as well as colour and material specifications, the Customer warrants that it holds all rights required in respect of such specifications or is entitled to use them in connection with the order and that, to the best of its knowledge, the specifications do not infringe any third-party copyrights, trademarks, design rights/registered design rights, patents or other intellectual property rights.

13.9 If a third party asserts claims against Nordmade in connection with the manufacture, distribution or use of Goods produced on the basis of such specifications due to an infringement of intellectual property rights within the meaning of Section 13.8, the Customer shall indemnify Nordmade against all claims arising therefrom, including reasonable legal defence costs. Nordmade shall inform the Customer without undue delay of any claims asserted and shall give the Customer an opportunity to participate in the defence against such claims or, in coordination with Nordmade, to assume responsibility for such defence.

13.10 Nordmade shall have no independent obligation to conduct a legal review of whether design elements provided or specified by the Customer are free from third-party intellectual property rights.

General Provisions

13.11 Sections 13.1 to 13.4, Sections 13.5 to 13.7 and Sections 13.8 to 13.10 shall apply independently of one another; the invalidity of any provision within one of these groups of provisions shall not affect the validity of the provisions in the other groups.

13.12 Works and Concepts exchanged prior to placement of an order shall be treated as confidential by both parties and shall not be disclosed to third parties unless such disclosure is necessary for the proper performance of the order.

14. USE AS A REFERENCE

Nordmade shall be entitled to name the Customer on its own website as a customer and/or reference partner and to publicly display the services provided in connection with the order for demonstration and marketing purposes, unless the Customer objects in writing, stating a legitimate conflicting interest.

15. DATA PROTECTION AND ELECTRONIC COMMUNICATION

15.1 Nordmade processes the Customer’s personal data within the scope of the business relationship in accordance with the General Data Protection Regulation (GDPR) and supplementary national data protection laws. Further details are set out in Nordmade’s Privacy Policy, available at www.nord-made.com.

15.2 The Customer agrees that contract-related communication, including invoices and order confirmations, may be provided electronically, in particular by email, unless otherwise required by law.

16. GTC AND FURTHER INFORMATION

The current version of these GTC is available on Nordmade’s website at www.nord-made.com and shall be sent to the Customer at any time upon request by email to info@nord-made.com. Nordmade’s invoices, order confirmations and offers shall contain a reference to these GTC and indicate where they can be accessed.

17. GOVERNING LAW AND JURISDICTION

17.1 These GTC and all contracts concluded on the basis thereof shall be governed by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).
